Explanation of Responses:

1. Grant of restricted stock pursuant to annual performance bonus under the Guaranty Bancshares, Inc. 2015 Equity Incentive Plan (the "2015 Plan"). Shares will vest ratably beginning on the first anniversary of the grant date over a three-year period following the grant date, or will vest in full upon the earlier occurrence of certain conditions set forth in the related award agreement or 2015 Plan. Any shares not yet vested are subject to forfeiture upon termination for cause or as otherwise specified in the 2015 Plan or related award agreement.
