Item 8.01.

Other Events.

Cytokinetics, Incorporated (“Cytokinetics”) today announced positive topline results from SEQUOIA-HCM, the pivotal Phase 3 study of aficamten, a novel cardiac myosin inhibitor, in patients with symptomatic obstructive hypertrophic cardiomyopathy. The full results from SEQUOIA-HCM will be presented at an upcoming medical conference. As part of a long-term funding agreement with Cytokinetics (announced January 7, 2022), Royalty Pharma plc (the “Company” or “Royalty Pharma”) purchased a royalty on aficamten of 4.5% on global net sales up to $1 billion and 3.5% on sales above $1 billion.

In addition, Royalty Pharma has provided Cytokinetics commercial launch capital of $50 million. Cytokinetics has the ability to draw $75 million following positive Phase 3 results of SEQUOIA-HCM and an additional $100 million following acceptance by the U.S. Food and Drug Administration of the aficamten New Drug Application.
