Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 18, 2025, each of Gary W. Rollins and Pamela R. Rollins informed the Board of Directors of RPC, Inc. (the “Company”) that, after long periods of service, they each intended to retire from the Board and would not stand for re-election at the Company’s 2025 Annual Meeting of Stockholders. They will each continue to serve as directors until the Company’s 2025 Annual Meeting of Stockholders is held, and their resignations will become effective at that time. There was no disagreement between either of Mr. Rollins or Ms. Rollins and the Company with respect to any matter relating to the Company’s operations, policies or practices.
