Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 18, 2024, Blake Lawson delivered a letter of resignation to RumbleOn, Inc. (the "Company") under Section 5(b) of the Executive Employment Agreement dated as of January 19, 2023, by and between Mr. Lawson and the Company. Mr. Lawson will continue to serve as Chief Financial Officer of the Company through the Company's 2024 Annual Meeting of Shareholders on June 4, 2024. Mr. Lawson previously served as Chief Financial Officer for the RideNow group of powersports retailers, which was acquired by the Company in 2021, and has provided crucial financial leadership in connection with the integration of RideNow and other acquisitions by the Company.
