Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 20, 2025, Jesse Hom notified the Board of Directors (the “Board”) of Safehold Inc. (the “Company”) that he does not intend to seek re-election as a director of the Board at the Company’s 2025 annual meeting of stockholders (the “2025 Annual Meeting”). Mr. Hom will resign from the Board and all positions he held as a member of any committee of the Board effective as of May 15, 2025. Mr. Hom’s decision not to seek re-election is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

In connection with, and effective immediately upon the effectiveness of, Mr. Hom’s resignation, the Board decreased the size of the Board from six (6) directors to five (5) directors.
