The registrant was not a public company at June 30, 2021, the last business day of the registrant’s most recently completed second fiscal quarter, and therefore it cannot calculate the aggregate market value of its voting and non-voting common equity held by non-affiliates at such date. The registrants’ units began trading on the Nasdaq Capital Market ("Nasdaq") on July 1, 2021 and the registrant’s ordinary shares began separate trading on August 30, 2021. The aggregate value of the registrant’s common stock outstanding, other than shares held by persons who may be deemed affiliates of the registrant, at December 31, 2021, computed by reference to the closing price of the units reported on Nasdaq on such date, was 196,400,000.
