On June 16, 2026, pursuant to and in accordance with the Agreement and Plan of Merger, dated as of February 16, 2026, as amended on March 15, 2026, by and among Kennedy-Wilson Holdings, Inc. (“Company”), Kona Bidco, LLC (“BidCo”) and Kona Merger Subsidiary, Inc. (“Merger Sub”), Merger Sub merged with and into the Company, with the Company continuing as the surviving corporation (the “Merger”) as a subsidiary of BidCo.
