This Form 3 is filed on behalf of MFN Partners, LP (the "Partnership"), MFN Partners GP, LLC, the General Partner of the Partnership ("MFN GP"), MFN Partners Management, LP, the investment adviser to the Partnership ("MFN Management"), MFN Partners Management, LLC, the General Partner of MFN Management ("MFN LLC") and Michael F. DeMichele, a managing member of each of MFN GP and MFN LLC. Farhad Nanji is also a managing member of each of MFN GP and MFN LLC and has been deputized to represent the Reporting Persons on the board of directors of the Issuer. By virtue of Mr. Nanji's representation, for purposes of Section 16 of the Securities Exchange Act of 1934 (the "Exchange Act"), each of the Reporting Persons may be deemed directors by deputization of the Issuer. Mr. Nani has filed a separate Section 16 report disclosing securities of the Issuer that he may be deemed to beneficially own for Section 16 purposes.
