Explanation of Responses:

1. 25% of the shares shall vest on the first anniversary of April 5, 2021 (the "Vesting Commencement Date") and as to the remaining 75% of such shares in thirty-six (36) equal monthly installments following the first anniversary of the Vesting Commencement Date; provided that the option holder remains continuously engaged by the Company on each such date.
