1. The restricted stock units vest in three equal annual installments beginning November 10, 2023. Vested shares will be delivered to the reporting person on November 10 in each of 2023, 2024, and 2025.

2. Each restricted stock unit represents a contingent right to receive one share of E2open Parent Holdings, Inc. common stock.

3. The restricted stock units vest in three equal annual installments beginning March 1, 2024. Vested shares will be delivered to the reporting person on March 1 in each of 2024, 2025, and 2026.
