This option was granted on January 3, 2022 under the Transcat, Inc. 2021 Stock Incentive Plan in a transaction exempt under Rule 16b-3 and, except as otherwise provided in the award notice, vests and becomes exercisable pro rata with respect to one-third of the shares subject to the option on the first, second, and third anniversaries of the date of grant.

2. These restricted stock units, which convert into common stock on a one-for-one basis, were granted on January 3, 2022 under the Transcat, Inc. 2021 Stock Incentive Plan in a transaction exempt under Rule 16b-3 and, except as otherwise provided in the award notice, vest on March 30, 2024.

3. These restricted stock units, which convert into common stock on a one-for-one basis, were granted on May 25, 2022 under the Transcat, Inc. 2021 Stock Incentive Plan in a transaction exempt under Rule 16b-3 and, except as otherwise provided in the award notice, vest on March 28, 2025.
