1. The Class B Ordinary Shares will automatically convert into Class A Ordinary Shares of the Issuer at the time of the Issuer's initial business combination and have no expiration date.

2. Fulton AC I LLC ("Fulton") is the record holder of the shares reported herein. Fulton is managed by CREO I LLC of which Mr. Cohen is manager. Mr. Cohen may be deemed to beneficially own the securities reported.
