Explanation of Responses:

1. Represents 500 (on a post-reverse stock split basis) restricted stock units ("RSU")granted to Mr. Dhaliwal by LQR House Inc. (the "Company") in August 2023 pursuant his independent director agreement between Mr. Dhaliwal and the Company. The RSUs will convert into the shares of common stock of the Company in eight (8) equal quarterly installments commencing on the date when the Company's 2021 Stock Option and Incentive Plan is amended.
