1. Each American depositary share ("ADS") represents fifty (50) Class A ordinary shares, with a par value of US$0.000025 per share, of Cheetah Mobile Inc. (the "Company").

2. Including (i) 519,928 ADSs representing 25,996,440 Class A Ordinary shares held by Sheng Global Limited, a British Virgin Islands company wholly owned by Fu Sheng, (ii) 80,000 ADSs representing 4,000,000 Class A Ordinary shares beneficially owned by Sheng Global Limited through FaX Vision Corporation, a British Virgin Islands company controlled by Sheng Global Limited.

3. Including: (i) 111,679,028 Class B Ordinary shares held by Sheng Global Limited, a British Virgin Islands company wholly owned by Fu Sheng, and (ii) 7,300,000 Class B Ordinary shares beneficially owned by Sheng Global Limited through FaX Vision Corporation, a British Virgin Islands company controlled by Sheng Global Limited.

4. One RSU represents one Class B Ordinary share of the Company.

5. 10,707,950 Restricted Share Units with vesting date of 2026/6/22.

6. 10,707,950 Restricted Share Units with vesting date of 2027/6/22.
