Explanation of Responses:

1. The Company will deliver to the grantee the number of shares of common stock equal to the number of vested restricted stock units.

2. RSU's issued at the average daily price of the Company's common stock for the 5-days immediately preceding issuance of the RSU's or $3.07. Original grant was for 128,700 RSUs and 36,211 RSUs were withheld to cover the associated employee taxes for a net issuance of 92,489.

3. RSUs are fully vested so there is not an expiration date on the instruments.
