Explanation of Responses:

1. These are performance-based restricted stock units granted on February 23, 2021 as to which the performance-related conditions to vesting have been satisfied. These units will vest ratably, with 1/3 vesting on each of the first, second and third anniversaries of the grant date, subject to the reporting person's continued employment with the issuer on the applicable vesting dates, and in accordance with the terms and conditions of the applicable award agreement.

2. These are options granted on July 1, 2020 that vest ratably, with 1/3 having already vested on July 1, 2021, and the remaining 2/3 vesting 50% on each of the second and third anniversaries of the grant date, subject to the reporting person's continued employment with the issuer on the applicable vesting dates, and in accordance with the terms and conditions of the applicable award agreement.
