Explanation of Responses:

1. Twenty-five percent of the options vested on February 15, 2024, with the remaining options vesting ratably over the following 36 months, subject to the Reporting Person's continued engagement with the Issuer through and including the applicable vesting dates and subject to acceleration under certain conditions. This option was granted to the Reporting Person while the Reporting Person was providing consulting services to the Issuer prior to his employment with the Issuer.
