Chandra R. Patel, Richard C. Davis and Jarett Goldman, as managers of Global Partner Sponsor II LLC, a Delaware limited liability company (the "Sponsor") share voting and investment discretion with respect to securities of the Issuer that are held of record by the Sponsor, but the managers each disclaim beneficial ownership of such securities because voting and dispositive decisions requires the approval of a majority of the managers.
