1. Each ADS represents ten (10) ordinary shares, par value $0.001 per share, of Mynd.ai, Inc. (the "Company").

2. Includes an aggregate of 84,329 ADS underlying unvested restricted stock units ("RSUs") granted under the Company's equity incentive plan that are settled in ADSs. Such unvested RSUs vest as follows: (i) 10,541 on April 10, 2026, (ii) 10,541 on July 10, 2026, (iii) 10,541 on October 10, 2026, (iv) 10,541 on January 10, 2027, (v) 10,541 on April 10, 2027, (vi) 10,541 on July 10, 2027, (vii) 10,541 on October 10, 2027 and (viii) 10,542 on January 10, 2028.
