Explanation of Responses:

1. The holder's options become exercisable as follows: (i) 50% of the options shall become exercisable immediately on January 13, 2021 and (ii) 50% of the options shall become exercisable upon the holder's completion of one year of service following January 13, 2021.

2. All of the holder's options shall become immediately exercisable upon the holder's completion of one year of service following April 6, 2021.
