Explanation of Responses:

1. In connection with his appointment to the Issuer's Board of Directors, effective June 4, 2021, Mr. Tellock was granted stock options (the "Options") to purchase 200,000 shares of the Issuer's Class A Common Stock which shall vest semiannually in six (6) increments over three (3) years beginning on November 21, 2021. The Options are exercisable upon receipt of approval therefor by the NYSE American and the Issuer's stockholders.
