Explanation of Responses:

1. A pecuniary interest in the shares of common stock of LTRY was acquired in exchange for a membership interest in ALD Holdings Group, LLC. The final purchase price for the acquisition of the shares of common stock of LTRY and the amount of pecuniary interest between members is contingent on certain variables including the portion, if any, of outstanding debt and the level of LTRY share price.
