1. The Board of Directors of the Issuer has not determined that this employee qualifies as a "reporting person" for purposes of filing reports pursuant to Section 16(a) under the Securities Exchange Act of 1934, as amended. The original Form 3 was filed due to an administrative error.

2. Exercisable as to 25% of shares one year following grant date with the remaining shares exercisable in 36 equal monthly installments thereafter.

3. Option will vest based on achievement of certain performance criteria relating to earnings growth.
