Explanation of Responses:

1. This form is being amended to reflect that shares were held indirectly by the reporting person through the Goldman-Valeriote Family Trust (the "Trust"). Previously these shares were reported as the reporting person's direct holdings in the Form 3 and subsequent Form 4 filings due to an administrative error. In accordance with SEC rules, lines of ownership information that were disclosed in the original Form 3 filed by the reporting person on August 3, 2019 and are not being amended are omitted from this amendment.

2. This amount is amended to remove indirectly held shares previously reported as direct holdings.

Remarks:

The Board of Directors of the Company has determined effective August 1, 2019 to comply with the reporting requirements and use the filing forms applicable to U.S. public companies under U.S. securities laws, including reports required under Section 16 of the U.S. Securities Exchange Act of 1934 ("Exchange Act"). Previously, the Company has determined that it qualified as a foreign private issuer under the Exchange Act and has made use of the foreign private issuer accommodations under U.S. securities laws.
