Explanation of Responses:

1. Represents the number of shares of the Issuer's common stock ("Common Stock") underlying restricted stock units ("RSUs"). Each RSU represents the contingent right to receive one share of Common Stock upon settlement. 1/5 of the RSUs vest on October 14, 2023, and 1/10 of the RSUs vest every six months thereafter, subject to the Reporting Person's Continuous Service (as defined in the Issuer's 2022 Equity Incentive Plan) through each such date. Shares of Common Stock will be delivered in respect of vested RSUs on October 14, 2023 and each anniversary thereafter.
