Explanation of Responses:

1. Shares withheld by the issuer to satisfy the mandatory tax withholding requirement upon vesting of restricted stock. This is not an open market sale of securities.

Remarks:

This Form 4 is being amended to correct an error that mistakenly included an award of 6,004 shares of common stock and corrects the total amount of common stock owned by the Reporting Person.
