Explanation of Responses:

1. Grant of a Restricted Stock Award of the Company's common stock pursuant to the Sharps Compliance Corp. 2010 Stock Plan and the Executive Compensation and Incentive Plan. The Restricted Stock Award is subject to the terms and conditions of the underlying Restricted Stock Award Agreement and vests as follows: 2,783 shares of the Restricted Stock shall vest on each of August 15, 2023, August 15, 2024, and August 15, 2025, and the remaining 2,782 shares of the Restricted Stock shall vest on August 15, 2026.
