Explanation of Responses:

1. Disposed of pursuant to the merger agreement between the issuer and Nordson Corporation for $54.00 per share in cash on the effective date of the merger.

2. Shares are held in a revocable trust of which the reporting person and his spouse are trustees.

3. The option was cancelled pursuant to the merger agreement between the issuer and Nordson Corporation for a cash payment representing the difference between the exercise price of the option and the merger consideration of $54.00 per share of CyberOptics common stock.
