Explanation of Responses:

1. PFBI Common Stock disposed pursuant to merger agreement between issuer and Peoples Bancorp Inc in exchange for 2,674 shares of Peoples common stock having a market value of $30.59 per share on the effective date of the merger.

2. This option, which provided for vesting in three equal annual installments beginning on 03/18/2021, was canceled in the merger in exchange for a cash payment of $38,766, representing the difference between the exercise price of the option and market value of Peoples common stock times the merger agreement exchange ratio of 0.58 shares for each PFBI common share in accordance with the merger agreement.

3. This option, which provided for vesting in three equal annual installments beginning on 03/20/2020, was canceled in the merger in exchange for a cash payment of $13,608, representing the difference between the exercise price of the option and market value of Peoples common stock times the merger agreement exchange ratio of 0.58 shares for each PFBI common share in accordance with the merger agreement.

4. This option, which vested over three-year period from 03/21/2018 grant date and were fully vested on 03/21/2021, was canceled in the merger in exchange for a cash payment of $16,312, representing the difference between the exercise price of the option and market value of Peoples common stock times the merger agreement exchange ratio of 0.58 shares for each PFBI common share in accordance with the merger agreement.

5. This option, which vested over three-year period from 03/15/2017 grant date and were fully vested on 03/15/2020, was canceled in the merger in exchange for a cash payment of $15,762, representing the difference between the exercise price of the option and market value of Peoples common stock times the merger agreement exchange ratio of 0.58 shares for each PFBI common share in accordance with the merger agreement.
