Explanation of Responses:

1. All shares were disposed of pursuant to the Merger Agreement, by and among Regency Centers Corporation ( "Regency"), Hercules Merger Sub, LLC, Urstadt Biddle Properties Inc., UB Maryland I, Inc., and UB Maryland II, Inc. (the "Merger Agreement") in exchange for an aggregate of 19,370 shares of Regency common stock having a closing price of $61.31 per share on the effective date of the mergers.

2. Shares held by Willing L. Biddle, the spouse of the reporting person.
