Explanation of Responses:

1. PAYMENT OF TAX LIABILITY BY WITHHOLDING STOCK INCIDENT TO THE VESTING OF PREVIOUSLY GRANTED RESTRICTED STOCK.

2. Represents restricted share units. Restrictions lapse as follows: 2,731 shares on 3/1/2023, and 2,732 shares each on 3/1/2024 and 3/1/2025.

3. Represents performance based restricted share units. Restrictions lapse on 3/1/2022.

4. Balance includes 226.50 shares acquired on March 25, 2021, 213.43 shares acquired on June 25, 2021, 214.36 shares acquired on September 24, 2021 and 184.20 shares acquired on December 21, 2021 through a dividend reinvestment plan.

5. The option represents a right to purchase a total of 32,682 shares, and is exercisable in three annual installments of 10,894 shares each, beginning on 3/1/2023, which is the one-year anniversary of the option grant date.
