Issued in consideration for serving on the Board of Directors and as serving as Chairman of the Nominating and Corporate Governance Committee of the Board of Directors for the fiscal year ending February 28, 2022, based on the closing price of the company's common stock on April 6, 2021, the day prior to Board approval. Subject to a contractual lock-up agreement restricting sales or transfers until March 2, 2022. Granted under the registrant's 2017 Equity Incentive Plan, as amended. Exempt from Section 16(b) pursuant to Rule 16b-3.
