Explanation of Responses:

1. Shares withheld by the Company to satisfy the Reporting Person's tax withholding obligation upon the vesting of restricted stock units.

2. The grant for 14,774 performance-based restricted stock units awarded on 2/15/2022 was forfeited due to failure to meet the performance metric.

3. The total number of securities beneficially owned includes: (a) 17,151 unrestricted shares; (b) 4,894 unvested units from an award of 4,894 time-based restricted stock units granted 12/7/21; (c) 2,774 unvested units from an award of 8,157 time-based restricted stock units granted 12/7/21; and (d) 18,383 unvested units from an award of 27,436 time-based restricted stock units granted 2/15/22.
