1. Represents a grant of restricted stock units ("RSUs"). Each RSU represents the contingent right to receive one share of the Issuer's common stock upon vesting and settlement.

2. These RSUs vest in full on March 9, 2023, subject to the reporting person's continued service at such time.

3. Includes 461,498 shares of Common Stock received in a prior distribution in-kind from Capstar Sponsor Group, LLC made in accordance with the exemptions afforded by Rule 16a-9 and Rule 16a-13 of the Securities Exchange Act of 1934, as amended.
