Explanation of Responses:

1. These securities are restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. 100% of the RSUs vest on on December 15, 2022, subject to the Reporting Person continuing as a service provider on such date.

2. These shares are held by David M. Clapper & Toni C. Clapper, Trustees of the Clapper Family Trust dated December 16, 2004.
