1. Received in connection with the merger of Ariix, LLC into NewAge, Inc. (the "Company") pursuant to the Amended and Restated Merger Agreement, dated September 30, 2020, by and among the Company, Ariel Merger Sub, LLC, Ariel Merger Sub 2, LLC, Ariix, LLC, certain members of Ariix, LLC and the sellers agent, as amended by a letter agreement dated November 16, 2020.
