Explanation of Responses:

1. Reflects a grant of restricted stock units (RSUs) as payment of one-half of the 2021-2022 annual retainer for non-employee director service. The RSUs vest and convert to shares in one installment on the earlier of the 1-year anniversary of the grant date or the date of VNE's 2022 annual stockholder meeting, provided that there is no less than fifty (50) weeks between the grant date and the 2022 annual stockholder meeting. Each RSU represents a contingent right to receive one share of VNE common stock.
