Explanation of Responses:

1. Settlement of 611 restricted stock units for shares of for cash and $212,708.57 in cash representing withholding for tax obligations in connection with such settlement.

2. Each restricted stock unit represents the contingent right to receive, upon vesting of the unit, one share of the registrant's common stock or a payment in cash in respect of such restricted stock unit in an amount equal to the fair market value of one share of the registrant's common stock on the applicable vesting date.

3. Reflects adjustments to the number of shares underlying the restricted stock units as a result of dividends declared and paid following the grant.

4. Each restricted stock unit vested on January 26, 2022.
