Explanation of Responses:

1. On July 5, 2023, 6,820 shares of the Issuer's common stock were transferred from the Reporting Person to his two daughters. This was a bona fide gift with no payment in consideration.

2. Represents shares withheld to satisfy tax withholding obligations upon vesting of restricted stock units.
