1. Issued pursuant to a Securities Purchase Agreement dated December 23, 2021 (the "Purchase Agreement") entered into between the Reporting Person's wholly-owned subsidiary, Decentralized Sharing Systems, Inc., a Nevada corporation ("Decentralized Sharing") and Sharing Services Global Corporation.

2. Through the Reporting Person's wholly-owned subsidiary, Decentralized Sharing Systems, Inc., a Nevada corporation.

3. In accordance with Instruction 4 to this Form, Column 9 reports only total beneficial ownership of the "class" of derivative security reported in Column 1. Warrants that have different exercise prices or expiration dates are not considered to be of the same "class."
