Explanation of Responses:

1. Consists of restricted stock units ("RSUs"). Each RSU represents the right to receive one share of common stock upon vesting. The RSUs vest as to 25% of the shares on January 19, 2024, 6.25% of the shares every three months thereafter beginning on April 19, 2024 and ending on January 19, 2025, and 12.5% of the shares every three months thereafter beginning on April 19, 2025 and ending on January 19, 2026.

2. Represents 3,296 shares of common stock and 65,850 restricted stock units.

Remarks:

This Form 4/A is being filed solely to correct the vesting schedule of the RSUs granted on January 19, 2023.
