Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

2. 25% of the RSUs vested on June 16, 2022, and the remainder will vest in quarterly installments thereafter, subject to the Reporting Person's continued service to the Issuer on each vesting date.

3. The RSUs do not expire; they either vest or are canceled prior to the vesting date.
