1. The option vests in four equal annual installments, with vesting beginning on February 6, 2023.

2. Each restricted stock unit represents a contingent right to receive one share of AUUD common stock.

3. The restricted stock units vest in 12 monthly installments and will settle (to the extent of the outstanding and vested) on February 6, 2024.
