Explanation of Responses:

1. As described in the issuer's registration statement on Form S-1 (File No. 333-267399) under the heading "Description of Securities," the shares of Class B common stock of the issuer will automatically convert into shares of Class A common stock of the issuer at the time of the issuer's initial business combination, on a one-for-one basis, subject to certain adjustments described therein, and have no expiration date.

2. On June 1 2023, the Reporting Person forfeited 139,750 shares of Class B Common Stock to the Issuer for no consideration, which was exempted pursuant to Rule 16b-3(e) under the Securities Exchange Act of 1934, as amended, in connection with the expiration of the underwriters' over-allotment option on April 30, 2023. The forfeiture was not within the Sponsor's control as it occurred as a result of the underwriters' decision not to exercise the remaining portion of the overallotment option and occurred shortly after the expiration of the over-allotment exercise period.
