Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Company common stock.

2. The award represents a grant of RSUs pursuant to the Diamond S Shipping Inc. 2019 Equity and Incentive Compensation Plan (the "2019 Equity Plan"). The award vests in three equal annual installments on March 18, 2022, March 18, 2023, and March 18, 2024 so long as the Reporting Person continuously serves as an employee from the award date through each applicable vesting date (subject to certain exceptions, as described in the award agreement).

3. Each performance restricted stock unit ("PSU") represents a contingent right to receive one share of the Company's common stock.

4. The award represents a grant of PSUs pursuant to the 2019 Equity Plan. Under the terms of the award agreement, to the extent that the performance requirements are satisfied, the reporting person may receive up to 24,065 PSUs, which will vest on March 18, 2024 and are determined based upon relative total shareholder return against certain peer tanker companies, measured over the period from January 1, 2021 to December 31, 2023.
