Explanation of Responses:

1. These shares represent restricted stock units ("RSUs") granted under the Cano Health, Inc. 2021 Stock Option and Incentive Plan. Each unit represents a right to receive one share of the Issuer's Class A Common Stock. The RSUs will vest ratably over three years, with 33% of the RSUs vesting on each of March 15, 2024, March 15, 2025 and March 15, 2026, respectively, subject to the reporting person's continued employment as of the applicable vesting date. The RSUs were granted on May 31, 2023.
