Explanation of Responses:

1. Restricted stock shall vest upon the achievement of certain milestones, based on Kopin Corporation's fiscal year 2023 results and is subject to restrictions pursuant to the terms of the Issuer's 2020 Equity Incentive Plan.

2. Restricted stock vests 33% on each of the three successive December 10 dates following the date of grant (05/25/23) and is subject to restrictions pursuant to the terms of the Issuer's 2020 Equity Incentive Plan.
