Explanation of Responses:

1. Pursuant to the terms of the previously reported Restricted Stock Units ("RSUs") of UpHealth, Inc., all previously granted and unvested RSUs are now fully vested as a result of the termination of employment of the Reporting Person.

Remarks:

The reporting person's status as an insider terminated as of December 30, 2022 and that the Reporting Person therefore is no longer subject to Section 16.
