Explanation of Responses:

1. Mr. Baum received the warrants as part of a distribution, on March 4, 2022, by Taglich Brothers, Inc. of warrants to purchase an aggregate of 156,320 shares of common stock previously issued to it in September 2021 as placement agent for a private placement of common stock by the Company. The distribution by Taglich, for which it did not receive any payment, was to individuals associated with Taglich.
