1. Reflects the withholding of shares for payment of tax liability related to the vesting of previously-reported restricted stock units.

2. Shares held of record by Lori Beaudoin, trustee of The Brian and Lori Beaudoin Trust 2005, as Amended and Restated in 2012. The Reporting Person disclaims beneficial ownership of these securities except to the extent of her pecuniary interest therein, and the inclusion of these securities on this report shall not be deemed an admission that the Reporting Person is the beneficial owner of the reported securities for purposes of Section 16 or for any other purpose.
